These Terms of Service (the “Terms”) are a binding agreement between you and Ryze Labs LLC, a Wyoming limited liability company located at 30 N Gould St Ste N, Sheridan, WY 82801, United States (“Ryze,” “we,” “us,” or “our”). They govern your use of the Ryze website at ryze.so, the Ryze application, our APIs, and any related services (together, the “Service”).
By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
01The Service
Ryze is an AI-assisted platform that helps you build and maintain a presence on LinkedIn. It includes calibrated content drafting, comment generation, content planning, engagement review, and analytics over your own LinkedIn activity. Some features integrate with LinkedIn through the LinkedIn APIs; you authorize that integration separately through LinkedIn’s OAuth flow.
02Eligibility and your account
You may use the Service only if you are at least 18 years old, have the legal capacity to enter into a binding contract, and are not prohibited from using the Service under applicable law. You must maintain a LinkedIn account in good standing under the LinkedIn User Agreement; violations of the LinkedIn User Agreement or Professional Community Policies may result in loss of access to Ryze.
You are responsible for providing accurate registration information, for the security of your credentials, and for all activity that occurs under your account. Notify us at legal@ryze.so immediately if you suspect unauthorized access.
Ryze may be made available in a limited, private, or beta form. Access may require an invitation and may be revoked for any reason during any such limited phase.
03LinkedIn integration
When you choose to connect your LinkedIn account to Ryze, LinkedIn’s OAuth consent screen will show you the permissions we are requesting. By completing that flow you authorize Ryze to access LinkedIn data on your behalf in accordance with the permissions you grant and our Privacy Policy.
- You may revoke Ryze’s access at any time inside the Ryze app (Settings → Integrations → Disconnect LinkedIn) or at linkedin.com/psettings/permitted-services. When you revoke, Ryze will immediately delete your OAuth tokens and all LinkedIn data collected on your behalf.
- Ryze is solely responsible to LinkedIn for Ryze’s use of the LinkedIn APIs; you remain solely responsible for your LinkedIn account, your content on LinkedIn, and your compliance with the LinkedIn User Agreement, LinkedIn Professional Community Policies, and any LinkedIn terms applicable to you.
- If LinkedIn suspends, modifies, or terminates Ryze’s API access, any dependent features of the Service may be disabled or removed without liability to us.
- Nothing in these Terms transfers any LinkedIn data to you or to any third party. LinkedIn data is displayed only to the authenticated Ryze user it relates to and may not be exported, resold, or transferred out of Ryze.
04Acceptable use
You agree not to, and not to attempt to:
- Violate the LinkedIn User Agreement, LinkedIn Professional Community Policies, the LinkedIn API Terms, or any applicable law;
- Use the Service — or any data from the Service, including any data obtained from LinkedIn via Ryze — for advertising or ad targeting, sales prospecting, recruiting or talent sourcing, list building, lead generation, CRM enrichment, audience targeting, or to train any third-party AI model;
- Scrape LinkedIn, bypass LinkedIn rate limits, or access LinkedIn data other than through LinkedIn’s sanctioned APIs;
- Use the Service to send spam, harass, stalk, deceive, impersonate any person, or engage in coordinated inauthentic behavior;
- Post AI-generated content without meaningful human review and judgment, or otherwise automate engagement in a way that replaces that review;
- Reverse-engineer, decompile, copy, or attempt to extract our AI models, prompts, embeddings, or underlying code;
- Access the Service through automated means beyond the interfaces we provide, share your account with any unauthorized party, or probe, scan, or test the vulnerability of the Service;
- Upload or transmit any content that infringes another party’s intellectual property, publicity, or privacy rights, or that contains malware.
05Your content and license to us
You retain all rights in content you create or submit through Ryze, including writing samples, questionnaire responses, Brand DNA answers, uploads, and drafts (“Your Content”). You grant Ryze a worldwide, royalty-free, non-exclusive license to host, store, process, transmit, and display Your Content solely to operate and improve the Service for you. The license ends when you delete Your Content or your account, except to the extent we have already shared it at your direction or are required to retain it by law.
You represent that you have the rights needed to submit Your Content to Ryze and that Your Content does not violate these Terms or any third-party rights.
06Aggregate insights and model improvement
We may produce de-identified, aggregated insights (for example, topic trends, sentiment benchmarks, engagement norms) and use them to operate, secure, and improve the Service and our AI models. These aggregates are derived only from user-contributed content; data obtained from the LinkedIn API is excluded from the aggregate pool. Aggregates contain no personal data and cannot be used to re-identify any individual, conversation, or company.
You can opt out of contributing your data to cross-user aggregates at any time in Settings → Privacy & Data. Opting out does not affect your access to the Service.
07AI-generated content
Ryze uses AI models to produce drafts, suggestions, and analyses. These outputs are tools that assist you; you are responsible for reviewing, editing, and approving anything before you publish it on LinkedIn or elsewhere. We make no warranty that outputs are accurate, complete, current, non-infringing, or suitable for any particular purpose, and you remain responsible for complying with any applicable LinkedIn policy, advertising or disclosure rule, or other law governing your content.
08Intellectual property
The Service, including its software, AI models, prompts, embeddings, voice calibration system, user interface, logos, and underlying code, is owned by Ryze Labs LLC and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property other than the limited right to use the Service in accordance with these Terms.
If you send us feedback or suggestions, we may use them without restriction and without obligation to you.
09Fees and billing
Some features of the Service may be offered on a paid basis. If you subscribe to a paid plan, you authorize us (and our payment processor, Stripe) to charge your chosen payment method on a recurring basis until you cancel. Fees are non-refundable except where required by law or expressly stated at checkout. We may change pricing on notice; changes will not apply to a current paid term.
Taxes are your responsibility unless we are required by law to collect them.
10Service availability and beta features
We work hard to keep Ryze available and performant but do not guarantee uninterrupted service. We may add, change, suspend, or remove features at any time. Features clearly labeled “beta,” “preview,” or similar are provided on an as-is basis, may be unstable, and may be discontinued without notice.
11Privacy and data
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. You can export your data or close your account at any time from Settings. When you close your account we will delete your personal data in accordance with the Privacy Policy, subject to limited legal retention exceptions.
12Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, Ryze disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment. We do not warrant that the Service will be uninterrupted, error-free, or secure; that any content generated by the Service will be appropriate, accurate, or compliant with any platform policy; or that LinkedIn will continue to make the LinkedIn APIs available to us on any particular terms.
13Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.
Our total liability to you for any and all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid Ryze for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages; to that extent, the limitations above may not apply to you.
14Indemnification
You will defend, indemnify, and hold harmless Ryze and its officers, members, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, (c) your activity on LinkedIn or any violation by you of the LinkedIn User Agreement or LinkedIn Professional Community Policies, and (d) your violation of any third-party right.
15Termination
You may stop using the Service and close your account at any time from Settings. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, violated the LinkedIn User Agreement or LinkedIn API Terms, put Ryze or its users at risk, or for any other lawful reason.
On termination, your rights to use the Service end. Ryze will delete LinkedIn-sourced data collected on your behalf as required by the LinkedIn API Terms, and will handle other personal data in accordance with the Privacy Policy. Sections that by their nature should survive termination — including sections on ownership, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution — will survive.
16Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email and with an in-app notice before the changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and may close your account.
17Governing law and venue
These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Subject to the arbitration provision below (if applicable), you and Ryze consent to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming for any claim not subject to arbitration.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
18Informal dispute resolution
Before filing any claim, you agree to try to resolve the dispute informally by contacting legal@ryze.so. We will do the same. If a dispute is not resolved within 60 days of that contact, either party may bring a formal proceeding.
19General
These Terms and the Privacy Policy are the entire agreement between you and Ryze about the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only and do not affect interpretation.
